Welcome to UHP (“we,” “us,” “our,” or “UHP”). These Terms & Conditions (“Terms”) govern your use of our website (uhp.com) and any services, courses, programs, or content we provide (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Enrollment

1.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to enroll or access our Services.
1.2 Application. Enrollment in certain courses or programs may require you to apply, submit documentation (e.g. proof of veteran status, GI Bill eligibility, etc.), and satisfy admission criteria.
1.3 Acceptance. We reserve the right to accept or reject any applicant at our discretion.

2. Use of Services & Website

2.1 License. We grant you a non-exclusive, non-transferable, revocable license to access and use the Services and website, subject to compliance with these Terms.
2.2 Restrictions. You agree you will not:

  • Use the Services for illegal or unauthorized purposes;
  • Copy, reproduce, distribute, modify, or create derivative works of our content except as expressly permitted;
  • Reverse engineer, decompile, or attempt to derive the source code of any part of our platform;
  • Impersonate another person or misrepresent your affiliation with an entity;
  • Interfere with or disrupt the integrity or performance of the Services.
    • 2.3 Account & Security. If we provide you with an account, you are responsible for maintaining its confidentiality, and you accept responsibility for all activities that occur under your account.

      3. Fees, Tuition & Payment

      3.1 Tuition & Payment. Certain programs (unless explicitly fully funded) may require payment of fees, tuition, or other charges. Payment terms will be set forth in your enrollment agreement or separate documents.
      3.2 Funding & Scholarships. You may use GI Bill®, VR&E, or scholarship funding where applicable. We will assist in applying and processing such funding, but you remain responsible for any unmet balance or administrative errors.
      3.3 Refunds & Cancellations. Refunds, cancellation policies, and deadlines (if any) will be governed by your enrollment agreement and applicable law.
      3.4 Late Payments. If you fail to make required payments, we may suspend or terminate your access to Services until payment is made.

      4. Course Content & Intellectual Property

      4.1 Ownership. All content, materials, curricula, training modules, videos, text, graphics, and software provided via the Services remain our property or that of our licensors.
      4.2 Limited Use. You may use the materials only for your personal, noncommercial use in connection with your participation in our programs.
      4.3 Trademarks & Logos. UHP, the UHP logo, and other related names and marks are our trademarks. You may not use them without our prior written consent.
      4.4 Feedback. If you provide feedback or suggestions, we may use them without any obligation to you.

      5. Disclaimers, Representations & Warranties

      5.1 As-Is Basis. The Services and content are provided “as is” and “as available.” We do not warrant that they will be error-free, uninterrupted, or free of misuse by others.
       5.2 No Professional Advice. While we aim to help prepare you for certifications, career paths, and personal development, nothing in our Services constitutes legal, medical, financial, or other professional advice. You should seek independent advice when needed.
       5.3 No Guarantee of Results. We do not guarantee employment, income, or certification outcomes. Your success depends on your effort, compliance, and external factors beyond our control.

      6. Limitation of Liability & Indemnification

      6.1 Limitation of Liability. To the maximum extent permitted by law, UHP and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, business interruption) arising out of or in connection with your use of the Services.
       6.2 Cap on Liability. Our total liability for claims arising out of or relating to the Services shall not exceed the amount you paid us in the 12 months preceding the claim (or, if you received Services free of charge, a nominal amount determined by us).
       6.3 Indemnification. You agree to defend, indemnify, and hold harmless UHP (and its affiliates, officers, agents, employees) from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of your breach of these Terms or your use of the Services.

      7. Term & Termination

      7.1 Term. These Terms remain in effect while you use the Services (or until terminated).
      7.2 Termination by You. You may stop using the Services at any time.
      7.3 Termination by Us. We may suspend or terminate your access at any time for violation of these Terms or for other reasons, with or without notice.
      7.4 Effect of Termination. Upon termination, your right to use the Services and content immediately ends. Sections concerning intellectual property, disclaimers, liability, indemnification, and other surviving provisions shall continue in force.

      8. Privacy

      Your use of our Services is also governed by our Privacy Policy (linkable here). By using the Services, you consent to data collection, use, and sharing as described in the Privacy Policy.

      9. Dispute Resolution & Governing Law

      9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the state of [Insert State, e.g. Arkansas], without regard to conflict of law principles.
      9.2 Arbitration / Mediation. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in [City, State] under the rules of [Arbitration Institution, e.g. American Arbitration Association].
      9.3 Class Action Waiver. To the maximum extent permitted by law, you and UHP agree that any dispute must be brought individually, not as a class or representative action.
      9.4 Statute of Limitations. Any claim you bring must be initiated within [e.g. 1 or 2] years after the cause of action accrues or be forever barred.

      10. Miscellaneous

      10.1 Modification. We may modify these Terms at any time. When we do, we will post the revised version on our website and update the “Effective Date.” Continued use after changes constitutes acceptance.
      10.2 Severability. If any provision is held invalid, illegal or unenforceable, the remainder of these Terms remains in effect.
      10.3 Assignment. You may not assign these Terms or your rights or obligations without our prior written consent. We may assign them freely.
      10.4 Entire Agreement. These Terms (along with any enrollment agreements and the Privacy Policy) constitute the entire agreement between you and UHP relating to the Services and supersede any prior agreements.
